Terms & Conditions

These terms govern all property compliance services provided by Slate Compliance to letting agencies, estate agencies, HMO landlords, and holiday let operators.

Last updated: 22 July 2026

1. Parties and Scope

These Terms and Conditions ("Terms") constitute a legally binding agreement between Slate Compliance ("we", "us", "our"), a property compliance services provider based in Bangor, Gwynedd, North Wales, and the client organisation ("you", "your") engaging our services.

These Terms apply to all services including, but not limited to: Energy Performance Certificates (EPCs), PAS 2035 Retrofit Assessments, Legionella Risk Assessments, Electrical Equipment Testing (EET), professional floor plans, and HMO compliance packs.

By placing an instruction with Slate Compliance — whether by telephone, email, online booking form, or via an authorised branch code — you confirm that you have read, understood, and agree to be bound by these Terms.

Corporate Accounts

2. 30-Day Invoiced Payment Terms

Registered letting agencies and estate agencies that have been approved for a corporate account with Slate Compliance are eligible for 30-day net payment terms ("Corporate Account Terms").

Eligibility: Corporate Account Terms are available exclusively to UK-registered letting agencies and estate agencies operating from a fixed high-street or commercial premises. Sole traders, private landlords, and holiday let operators are not eligible for Corporate Account Terms and must pay at the time of booking unless otherwise agreed in writing.

Activation: To activate Corporate Account billing on any instruction, the authorised coordinator must include the agency's unique 4-digit branch authorisation code in the scheduling form notes field at the time of booking. Instructions submitted without a valid branch code will be treated as standard bookings and payment will be required upfront.

Invoicing: Invoices are issued electronically to the registered billing contact on the date of service delivery. Payment is due within 30 calendar days of the invoice date ("Due Date").

Late payment: Invoices not settled by the Due Date will accrue statutory interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend Corporate Account Terms for any agency with an outstanding overdue balance.

VAT: Slate Compliance is not currently VAT registered. All prices quoted are flat-rate fees with 0% VAT applied.

3. Clear Instruction Codes

All instructions submitted by letting agencies must include a clear instruction code to ensure accurate billing, scheduling, and certificate delivery. The instruction code must be provided at the point of booking and must contain:

  • The agency's unique 4-digit branch authorisation code (required for Corporate Account billing).
  • The full property address including postcode.
  • The name and direct contact number of the tenant or key holder who will provide access.
  • The service(s) required (e.g. EPC, Legionella, EET, Floor Plan).
  • Any specific access instructions or scheduling constraints.

Slate Compliance accepts no liability for delays, failed visits, or incorrect certificate delivery arising from incomplete or inaccurate instruction codes. Re-attendance fees may apply where a visit cannot proceed due to missing or incorrect instruction information.

4. Key Collection Procedures

Where a property is vacant or access is to be arranged via key collection from a letting agency branch, the following procedures apply:

  • Branch collection: Keys may be collected from the agency's local high-street branch on the morning of the scheduled visit. The assessor will present identification upon collection and return keys to the same branch on the same working day, unless otherwise agreed in writing.
  • Key sign-out: The assessor will sign a key register at the branch at the time of collection and return. It is the agency's responsibility to ensure a key register is maintained and that a member of staff is available to release and receive keys during normal business hours.
  • Out-of-hours collection: Key collection outside of normal branch hours (Monday–Friday, 9:00am–5:30pm) must be arranged in advance and confirmed in writing. Additional charges may apply.
  • Key safe access: Where access is via a key safe, the code must be provided in the instruction notes at the time of booking. Key safe codes are treated as confidential and are not retained after the visit.
  • Liability: Slate Compliance accepts responsibility for keys only during the period between collection and return to the branch. We carry appropriate professional indemnity and public liability insurance.
Standard Policy

5. Cancellation Policy

Standard cancellation: Bookings may be cancelled free of charge provided notice is given at least 24 hours before the scheduled appointment time. Cancellations must be made by telephone or email to cody@slatecompliance.co.uk.

Late cancellation: Cancellations made with less than 24 hours' notice will incur a cancellation fee of 50% of the booked service price. This fee will be invoiced to the agency on the original booking date.

Failed access / no access: Where an assessor attends a property and is unable to gain access due to circumstances within the client's control (e.g. tenant not present, keys not available, incorrect access details), the full service fee will be charged as a failed visit fee.

Rescheduling: Bookings may be rescheduled free of charge with at least 24 hours' notice. Rescheduling requests made with less than 24 hours' notice will be treated as a cancellation and re-booking, and the late cancellation fee may apply.

Slate Compliance cancellations: In the unlikely event that we need to cancel or reschedule a confirmed appointment, we will provide as much notice as possible and will not charge any cancellation fee.

6. Service Delivery & Certificates

All certificates, reports, and assessments will be lodged on the relevant government register (where applicable) and delivered electronically to the email address provided in the instruction within 48 hours of the on-site visit, subject to any technical delays outside our control.

EPC certificates are lodged on the Domestic Energy Performance Certificate Register maintained by Elmhurst Energy. Retrofit assessments are lodged in accordance with PAS 2035:2023 requirements. Legionella risk assessment reports are provided as a PDF document and are not lodged on a central register.

It is the client's responsibility to ensure that the email address provided is correct and that the inbox is monitored. Slate Compliance accepts no liability for certificates delivered to an incorrect email address provided by the client.

7. Limitation of Liability

Slate Compliance carries professional indemnity insurance and public liability insurance appropriate to the services provided. Our total liability to you in connection with any single instruction shall not exceed the fee paid or payable for that instruction.

We are not liable for any indirect, consequential, or special losses, including loss of rental income, loss of sale, or regulatory penalties arising from delays in certificate delivery that are outside our reasonable control.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to update these Terms at any time. The current version will always be published at slatecompliance.co.uk/terms. Continued use of our services following any update constitutes acceptance of the revised Terms.
